This Web Design Agreement (the "Agreement") is entered into as of May 22, 2025 by and between:

Designer: Wealth Greatness Group, LLC, doing business as ItsyDoodleFactory by WGG, located at 244 FM 306; STE 120 PMB 244; New Braunfels, TX 78130,  ("Designer").

Client: {{billing_company}} a nonprofit organization located at {{billing_address_1}}; {{billing_address_2}}; {{billing_city}}; {{billing_state}}; {{billing_postcode}}, ("Client").

Collectively referred to as the "Parties."

  1. PROJECT DESCRIPTION The Client hereby engages the Designer to design and develop a website for {{billing_company}} (the "Project"). The website will include functionalities such as content management, event scheduling, donation processing, and other features as outlined in the attached project proposal (Exhibit A).

  2. SCOPE OF WORK The Designer agrees to provide the following services:

  • Website design and development, including responsive design for mobile compatibility.

  • Integration of content management system (CMS) for Client's use.

  • Implementation of donation processing capabilities.

  • Initial search engine optimization (SEO) setup.

  • Training for Client's staff on website maintenance and updates.

  •  

  1. DESIGNER'S CONTRIBUTIONS To assist with the Project's budget constraints:

  • The Designer has reduced the standard design and build fee significantly.

  • The Designer will waive the standard monthly fee for ongoing site maintenance for the first year post-launch.

  • The Designer will provide access to certain plugins and software licenses at no additional cost for the first year. A list of these plugins and licenses is attached as Exhibit B.

  1. CLIENT'S RESPONSIBILITIES The Client agrees to:

  • Provide all necessary content, including text, images, and multimedia, in a timely manner.

  • Be responsible for the monthly hosting costs chosen by the Client and the cost of any additional software not covered by the Designer's licenses.

  • Acknowledge that as the site grows with content, images, podcasts, videos, and store products, the hosting requirements and associated costs may increase.

  • Utilize the Designer's hosting, webmail, and domain discounts for the life of the account.

  1. PAYMENT TERMS

  • The total project cost is outlined in the project estimate. Specific prices are detailed therein.

  • An initial deposit of may be due upon execution of this Agreement.

  • In the even that a deposit is due. The remaining balance is due on the date shown in the invoice for this project.

  • Any additional expenses incurred will be pre-approved by the Client and billed separately.

  1. REVISIONS The Client is entitled to revisions during the design phase. Additional revisions beyond this allotment will be billed at a rate of per hour.

Note: Timely feedback from the Client is essential to meet these deadlines.

  1. INTELLECTUAL PROPERTY RIGHTS Upon full payment, the Designer assigns to the Client all rights, title, and interest in the website design and content produced under this Agreement. The Designer retains the right to display the website in portfolios and marketing materials and seeks permission to use it as a base model for future sites and for marketing and research purposes.

  2. CONFIDENTIALITY Both Parties agree to maintain the confidentiality of any proprietary information disclosed during the Project. This includes, but is not limited to, business strategies, financial information, and personal data of members or donors.

  3. INDEMNIFICATION The Client agrees to indemnify, defend, and hold harmless the Designer and Wealth Greatness Group (WGG) from any and all claims, liabilities, damages, or expenses arising from:

  • The content provided by the Client, including text, images, and multimedia.

  • The Client's operations, including political activities, fundraising practices, and affiliations.

  • Any claims related to false donation claims or allegations of bribery.

The Designer agrees to indemnify, defend, and hold harmless the Client from any and all claims, liabilities, damages, or expenses arising from:

  • The Designer's negligence or willful misconduct in the performance of services under this Agreement.

  1. COMPLIANCE WITH LAWS Both Parties agree to comply with all applicable local, state (Texas), and federal laws and regulations in the performance of their obligations under this Agreement.

  2. TERMINATION Either Party may terminate this Agreement with days' written notice. In the event of termination, the Client agrees to pay for all work completed up to the termination date. The Designer will provide all completed work to the Client upon receipt of payment.

  3. FORCE MAJEURE Neither Party shall be liable for any failure or delay in performance under this Agreement due to circumstances beyond their reasonable control, including acts of God, natural disasters, pandemics, or governmental actions.

  4. GOVERNING LAW This Agreement shall be governed by and construed in accordance with the laws of the State of Texas and the United States of America, without regard to its conflict of law principles.

  5. ENTIRE AGREEMENT This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions, agreements, or understandings of any kind. Any amendments or modifications to this Agreement must be in writing and signed by both Parties.

  6. SEVERABILITY If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

  7. NOTICES All notices under this Agreement shall be in writing and sent to the addresses listed above or to such other address as either Party may specify in writing.

IN WITNESS WHEREOF, the Parties hereto have executed this Web Design Agreement as of the Effective Date.
